These Terms of Service (“Terms”) govern your access to and use of the Vatli website and application (the “Service”), operated by Ixoric Technologies LLC (“Vatli”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.
Vatli is a software platform that connects to the official WhatsApp Business Platform (Cloud API) to provide a shared inbox, CRM, broadcasts, automations, AI features, and analytics. Vatli is an independent product and is not affiliated with, sponsored by, or endorsed by Meta Platforms, Inc.
You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
You agree to use the Service lawfully and, in particular, to comply with Meta’s WhatsApp Business Messaging Policy, WhatsApp Business & Commerce Policies, and all applicable anti-spam and privacy laws. You must not:

You retain ownership of the contacts, messages, and content you process through the Service (“Customer Data”). For Customer Data, you are the data controller and we act as your processor, as described in our Privacy Policy. You represent that you have all rights and consents necessary to process Customer Data through the Service.
The Service, including its software, design, and trademarks, is owned by Ixoric Technologies LLC and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.
The Service relies on third parties (including Meta, Stripe, Supabase, and Oracle Cloud). Your use of those services may be subject to their own terms. We are not responsible for third-party services.
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
To the maximum extent permitted by law, Ixoric Technologies LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim will not exceed the amount you paid us in the 12 months preceding the claim.
You agree to indemnify and hold harmless Ixoric Technologies LLC from claims arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or applicable policies, or as required by law. Upon termination, your right to use the Service ends and we will handle data as described in our Privacy Policy.
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved in the courts located in that jurisdiction, unless applicable law requires otherwise.
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
